1. About these Terms

These Terms are a binding agreement between you and gadgetslip of Lagos, Nigeria ("gadgetslip", "we", "us"). They cover your use of gadgetslip.com and everything on it (the "Service").

By creating an account, or by using the Service, you accept these Terms on behalf of yourself and the business you register. If you don't agree, don't use the Service.

You must be at least 18 and able to enter a binding contract where you live. If you sign up for a business, you confirm you're allowed to accept these Terms for it.

2. What gadgetslip is, and isn't

gadgetslip is a record-keeping tool. It helps you write receipts, keep stock and sales records, and send receipts to your customers.

gadgetslip is not a party to any sale you make. We don't buy, sell, hold, inspect or deliver goods, and we don't hold or move money between you and your customers. Every sale is between you and your customer only.

gadgetslip is not an accountant, tax adviser, lawyer, bank or payment service. Nothing in the Service (including tax rates, labels or figures it fills in) is professional advice.

3. Your account and your staff

Keep your login details safe. You're responsible for everything done through your account, including by staff you invite.

Staff accounts you invite act for your business. You're responsible for what they do, and for removing them when they leave.

Tell us straight away if you think someone has got into your account.

4. Your country, currency and tax

When you pick a country, gadgetslip shows that country's currency symbol and fills in a usual tax rate and the names of local tax and business registration bodies. These are a convenience only. They may be out of date, may not apply to your goods, and may not apply to you at all (for example if you're below a registration threshold).

You alone decide whether to charge tax, at what rate, and how to show it. You are solely responsible for registering with, reporting to and paying your tax authority, and for following the business, consumer, data and other laws of every country where you trade. gadgetslip does not file, collect or pay any tax for you.

Amounts are shown in the currency you choose. gadgetslip never converts currencies.

Choosing a country does not change which law governs these Terms or which courts or tribunals hear disputes with us (see section 16).

5. Your sales, your goods and your records

You are responsible for everything you record and send through gadgetslip, including prices, IMEI and serial numbers, device condition, warranties, disclaimers and any wording on your receipts.

You confirm that you have the legal right to sell every item you record, and that you won't use the Service to deal in stolen, counterfeit, blacklisted or otherwise unlawful goods.

Any claim by a customer, supplier, reseller or other person about a sale, an item, a warranty, a refund, a trade-in or a phone given out or received is a matter between you and them. gadgetslip has no part in it.

Keep your own copies of anything important. You can download your records as PDF at any time.

6. Your customers' details and messages

You decide what customer details to record and what to send them. For those details you are the data controller, and we process them only to run the Service for you.

You must have a lawful basis to collect and use your customers' details, and their permission where the law requires it (for example before sending marketing emails), under the data protection law that applies to you, such as Nigeria's Data Protection Act 2023 or the GDPR.

You're responsible for the content of every receipt, WhatsApp message and email you send through the Service.

7. Fees, wallet and plans: no refunds

Prices for services and plans are shown in the app. We may change them; changes apply from the time they're shown and never to a plan period you've already paid for.

Prices are in Nigerian Naira and include any value added tax (VAT) we are required to charge.

Plans can be bought monthly (30 days) or yearly (12 months). A yearly plan includes the same monthly allowance as the monthly plan, reset every month. Allowance you don't use in a month doesn't carry over.

Plans renew only if you turn on auto-renew. If you do, we charge the card you chose at the end of each plan period, at the price shown at that time, after emailing you twice: 5 and 2 days before for a monthly plan, 14 and 3 days before for a yearly plan. You can turn auto-renew off or remove your card on the Plans page at any time, which stops future charges.

Free trial: each shop can have one free 7-day trial of the Growth plan. No card is needed and nothing is charged when it ends; the shop goes back to pay-as-you-go unless it buys a plan. Opening extra accounts to get more trials isn't allowed, and we may end trials obtained that way.

All money you add to your wallet, all funding fees, and all plan payments are final and non-refundable. This applies even if you stop using gadgetslip, don't use your full balance or plan, close your account, or we suspend or close it because you broke these Terms.

Your wallet balance is prepaid credit for gadgetslip services only. It is not a bank deposit, earns no interest, and cannot be withdrawn, transferred, sold or exchanged for cash.

If a service fails because of a fault on our side, we may credit the fee back to your wallet as credit, not cash. If we charge you twice or in error, we'll correct it.

Payments are processed by our payment providers (Bachs, and Paystack for earlier payments) in Nigerian Naira. Your bank or card provider may add its own fees or exchange rate, which are not ours.

Nothing in this section removes a refund right that the law where you live gives you and doesn't allow to be excluded.

8. Verified receipts

A "Verified receipt" page and QR code only confirm that the receipt was issued from a gadgetslip account. They do not confirm that the details on it are true, that the goods are genuine or lawfully owned, or that payment was really made.

9. Things you must not do

Don't use the Service to break any law, to deceive anyone, to make false or misleading receipts, to send spam, or to sell stolen or illegal goods.

Don't try to get into other people's accounts or data, test or break our security, overload the Service, or copy, resell or reverse-engineer it.

10. The Community

The Community is a shared space where shops on gadgetslip post and reply. Shop owners and their staff can post. What you post is seen by every other shop on gadgetslip, with your shop name, logo and any plan tick. Staff posts are made for your shop, and you're responsible for them.

Post only what is true and lawful. Don't post: anything you know or suspect is stolen, counterfeit or blacklisted; customers' personal details (names, phone numbers, addresses, photos of ID); insults, threats, harassment or hate; spam, scams or links to them; or anything that copies someone else's work without permission.

Never post that a person or shop owes you money. Use a private payment request instead; only the two shops involved can see it. Payment requests are a reminder tool only: gadgetslip doesn't collect, hold or guarantee any payment and doesn't decide disputes.

Stolen phone alerts are only for phones stolen from you or your shop. Include a police report number where you have one. A false or malicious alert may be removed, and your account may be suspended. When another shop enters a matching IMEI, gadgetslip shows them a warning; it's a prompt to check, not proof, and what they do next is up to them and the law.

Deals, repairs, swaps and part sales arranged through the Community are between the shops involved. gadgetslip isn't a party to them, doesn't check the people or goods, and isn't responsible for what happens. Check before you pay or hand over a device.

Plan ticks only show that a shop has a paid gadgetslip plan. They don't mean gadgetslip has checked or vouches for that shop. Milestone cards (joined, trial started, upgraded) never show amounts, and you can turn them off in the Community.

You keep ownership of what you post, and give gadgetslip permission to show it in the Service. Any shop can report a post. Reported posts may be hidden while we review them, and we may remove posts, or stop a shop from using the Community, at our discretion, with or without notice.

11. Availability and changes to the Service

We work to keep gadgetslip running and your data backed up, but we don't promise it will always be available, error-free or that no data will ever be lost. We may change, add or remove features at any time.

12. No warranties

The Service is provided "as is" and "as available". To the fullest extent the law allows, we give no warranties or conditions of any kind, whether express or implied, including that the Service is fit for a particular purpose, accurate, or meets any legal or tax requirement where you trade.

13. Limits on our liability

To the fullest extent the law allows, gadgetslip and its owners, staff and suppliers will not be liable for any indirect or consequential loss, or for any loss of profit, sales, business, goodwill or data, or for any tax, penalty, fine or interest charged to you, however it arises.

To the fullest extent the law allows, our total liability to you for all claims connected with the Service is limited to the fees you paid us in the 3 months before the event that led to the claim.

Nothing in these Terms limits liability that cannot legally be limited, such as for fraud or for death or personal injury caused by negligence.

14. Your promise to cover us

You will defend and repay gadgetslip and its owners, staff and suppliers for any claim, demand, fine, penalty, tax, loss or cost (including reasonable legal fees) brought by anyone, including your customers, staff, suppliers, resellers or any tax or government body, that comes from your sales, your goods, your records, your messages, your Community posts and payment requests, your tax affairs, your breach of these Terms, or your breach of any law.

15. Suspension and closing your account

We may suspend or close your account, without notice where reasonable, if you break these Terms, if we're required to by law, or to protect other users or the Service. You can stop using gadgetslip at any time.

Sections 4, 5, 6, 7, 10, 12, 13, 14 and 16 continue to apply after your account closes.

16. Governing law and disputes

These Terms, and any dispute about them or the Service, are governed by the laws of the Federal Republic of Nigeria, whatever country you are in or select in the app.

If a dispute arises, contact us first and we'll both try in good faith to settle it within 30 days. If it isn't settled, it will be finally decided by confidential arbitration by a single arbitrator under the Arbitration and Mediation Act 2023, seated in Lagos, Nigeria, in English.

You agree to bring claims only on your own behalf, not as part of a class, group or representative action.

If the law where you live gives you a right to use your local courts or a local law that cannot be excluded by agreement, that right still applies; everything else in this section still applies too.

17. General

We may update these Terms. We'll show the date of the latest version on this page, and tell you in the app or by email about important changes. If you keep using the Service after a change, you accept the new Terms.

If any part of these Terms is found unenforceable, the rest still applies. If we don't enforce a right straight away, we haven't given it up. You may not transfer your account or these Terms to anyone else without our written permission.

These Terms are the whole agreement between you and us about the Service.
